Please read these Terms and Conditions carefully before using our Service.

1. Interpretation and Definitions

Words with initial capital letters have meanings defined under the following conditions. The definitions shall have the same meaning regardless of whether they appear in singular or plural.

1.2 Definitions

For the purposes of these Terms and Conditions:

  • Account means a unique account created for You or Your organization to access the Service.

  • Affiliate means any entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of shares, equity interest, or voting securities.

  • Company (referred to as “the Company,” “We,” “Us,” or “Our”) refers to Oyelabs Technologies Pvt. Ltd., H400, Punyodaya Bhawan, Bahubali Colony, Sagar, MP 470002, India.

  • Content means any data, text, prompts, images, or other material that You or Your users submit, upload, or configure through the Service.

  • Country refers to India.

  • Device means any device capable of accessing the Service via a web browser.

  • Feedback refers to ideas, suggestions, or improvements submitted by You related to the Service.

  • Free Trial refers to a limited period during which access to the Service may be provided at no cost.

  • Orders means a request by You to purchase a Subscription or paid service.

  • Promotions refer to special offers, discounts, or campaigns offered through or in relation to the Service.

  • Service refers to the online SaaS platform “Oyegen”, including the AI Lead Qualification Agent and all related features accessible via www.oyegen.com.

  • Subscriptions refer to paid access plans providing recurring use of the Service.

  • Terms and Conditions (“Terms”) mean this complete agreement governing the use of the Service.

  • Third-party Services means external software, APIs, or systems integrated with the Service (such as CRMs or communication tools).

  • Website refers to www.oyegen.com.

  • You means the individual or legal entity accessing or using the Service. For agencies, “You” refers to your business or organization.

2. Acknowledgment

These Terms govern the use of the Service and form a legally binding agreement between You and the Company.

By accessing or using the Service, You agree to be bound by these Terms. If You do not agree to these Terms, You may not use the Service.

You confirm that You are at least 18 years old and legally authorized to enter this Agreement on behalf of Yourself or Your organization.

Your use of the Service is also governed by our Privacy Policy, available on our Website.

3. Subscriptions

3.1 Subscription Period

Certain features of the Service are available only under a paid Subscription. Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually).

Subscriptions automatically renew unless cancelled before the renewal date.

3.2 Subscription Cancellations

You may cancel at any time via Your Account dashboard or by contacting Us.
 Fees already paid for the current billing period are non-refundable unless required by law.

3.3 Billing

You must provide accurate billing information. If automatic billing fails, You must make payment manually before the deadline specified on the invoice.

3.4 Fee Changes

We may modify Subscription fees. You will receive reasonable notice before new fees apply. Continued use of the Service after fee changes means You accept the new pricing.

3.5 Refunds

Except where required by law, all payments are non-refundable.
 Refunds may be considered at our discretion on a case-by-case basis.

4. Free Trial

We may offer Free Trials at our discretion.
 If You enter billing details for a Free Trial, You will not be charged until the trial period ends.

We may modify or cancel Free Trial offers at any time without notice.

5. Promotions

Promotions may have their own rules separate from these Terms.
 If Promotion rules conflict with these Terms, the Promotion rules apply.

6. User Accounts

When creating an Account, You must provide accurate and complete information.

You are responsible for maintaining the confidentiality of Your login credentials.
 You agree to notify Us immediately of any unauthorized access to Your Account.

You may not use names or identifiers that:

  • infringe trademarks,

  • impersonate others,

  • or are offensive or obscene.

7. Content

7.1 Your Rights to Provide Content

You may upload or configure Content as part of using the Service. You are solely responsible for such Content, including its legality and compliance.

By submitting Content, You grant Us permission to process, use, store, modify, and display it solely to provide and improve the Service.

You retain ownership of Your Content.

You represent and warrant that:

  • You have the rights needed to upload Content;

  • Content does not infringe any third-party rights.

7.2 Content Restrictions

You agree not to submit Content that is:

  • unlawful, abusive, harmful, defamatory, hateful, or obscene;

  • spam or unauthorized advertising;

  • malware or harmful code;

  • infringing on intellectual property rights;

  • impersonating any individual or organization;

  • violating privacy laws.

We may remove prohibited Content or suspend accounts that violate these Terms.

7.3 Content Backups

Although We may create backups, We do not guarantee data integrity.
 You are responsible for maintaining your own backups.

8. Copyright Policy

If You believe Content violates copyright law, You may notify Us at:

Your notice must include sufficient detail as required by applicable copyright laws.

9. Intellectual Property

The Service (excluding Your Content) is the exclusive property of the Company.
 Our trademarks and branding may not be used without our written permission.

10. Feedback

Any Feedback You provide becomes the property of the Company.
 If ownership transfer is not legally possible, You grant Us an irrevocable, worldwide, royalty-free license to use it without restrictions.

11. Third-Party Services

The Service may integrate with third-party systems.
 We are not responsible for the content, policies, or reliability of third-party services.

Use third-party integrations at your own risk.

12. Termination

We may terminate or suspend access to the Service immediately if:

  • You breach these Terms;

  • You fail to pay Subscription fees;

  • We are required to do so by law.

Upon termination, Your right to use the Service ceases immediately.

You may terminate Your Account at any time by discontinuing use of the Service.

13. Limitation of Liability

To the maximum extent permitted by law:

  • The Company’s total liability shall not exceed the total amount paid by You in the last 12 months, or USD 100, whichever is greater.

The Company shall not be liable for:

  • loss of profits;

  • data loss;

  • business interruption;

  • indirect or consequential damages.

Certain jurisdictions do not allow such limitations; in those cases, limitations apply to the fullest extent permitted.

14. “AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind.

We do not guarantee that:

  • the Service will function uninterrupted or error-free,

  • defects will be corrected,

  • the Service will meet Your requirements,

  • integrations will remain available.

Use of the Service is at Your sole risk.

15. Governing Law

These Terms are governed by the laws of India.
 Any disputes shall be resolved under the exclusive jurisdiction of the courts in Panchkula, Haryana, India.

16. Dispute Resolution

You agree to attempt informal resolution by contacting Us before pursuing legal action.

17. EU Users

If You are a consumer residing in the European Union, You may benefit from mandatory protections provided by the laws of your country of residence.

18. U.S. Compliance (If Applicable)

By using the Service, You confirm that You are not:

  • located in a U.S.-sanctioned country, or

  • listed on any U.S. government restricted-party list.

19. Severability and Waiver

If any provision of these Terms is found invalid, remaining provisions remain in full effect.

Failure to enforce a right under these Terms does not constitute a waiver of that right.

20. Translation

If these Terms are translated, the English version prevails in case of conflicts.

21. Changes to These Terms

We may update these Terms from time to time.
 Material changes will be communicated with at least 30 days’ notice.

Continued use of the Service after changes means You accept the revised Terms.
